Nice bit of coordination, from the Preliminary Results for the seven-month period ended 31 December 2015 (31 May 2016):

"The delivery of earthworks for this Phase II Bonaberi extension has been outsourced to and coordinated with SOGEA SATOM Succursale Cameroun, the company contracted by the Government of Cameroon to lay bitumen along the Bonaberi road.

By contracting their services to carry out the trenching work simultaneously with the construction work on the major road, a significant cost and time saving has been achieved.

At the time of approval of the financial statements 3.7km of pipe has been laid and commissioned and an additional 1.3km of pipe has been welded and is ready to be laid. The customers on Phase II Bonaberi are expected to come online during Q3 2016."

Victoria Oil & Gas helps grow a booming Cameroon
The largest economy in central Africa is seeing growth thanks to popular utility company

Many westerners are overjoyed with the fact that gasoline and energy costs have been relatively low over the past few months. As a result, consumers are seeing their wallets grow fatter and their utility bills shrink. However, this is not only a new development in the western world but even parts of Africa as well.

Victoria Oil & Gas (VOG), which is a major energy utility in the west central region of Africa, has been building gas pipelines all over the city of Douala in Cameroon. For the past few years they have been seeing unprecedented success. Their newest development has been the construction of the Logbaba pipeline project. The pipeline is based in the major city of Douala which is considered to be the “business hub” of central Africa. This project alone generates countless dollars in revenue each year.

In addition, Victoria Oil & Gas is expected to lay 13 kilometers of new pipeline this year, expanding out into the Bonaberi industrial area.

The company has seen such enormous success that not only are investors moving into the stock, but local citizens in Cameroon have enjoyed careers and utility contacts with the company. Due to the incredible economic development driven by VOG, the people of Cameroon are experiencing prosperity that is rare in the rest of the continent.

While many countries in the region battle famine and terrorism, Cameroon, which is tucked away into the coastal region of central west Africa, has made great economic strides recently due to private investment from foreign companies like VOG.

The sunny economic conditions that Cameroon is enjoying are the direct result of abundant natural resources and the encouragement of international investment. Currently, Cameroon has seen a healthy GDP growth rate of 6% and a steady inflation rate of 3%. Hoping to build on the recent economic gains, long serving President Paul Biya invited nearly 100 foreign journalists and businessmen to the “Invest in Cameroon” conference last month. Biya, who is “determined to encourage private investment” emphasized that in order to maintain the improving economic conditions the Cameroonian government must work with foreign companies, so that they might bring their business to their nation.

Kevin Foo, Chairman of Victoria Oil & Gas could not be more delighted with the progress his company has seen in the region. “I have been very uplifted recently with the success that our company has achieved in Cameroon. It is always encouraging to me when we come into a country, help them develop a resource and help put local citizens to work all while expanding our own business.” He added “One of the major reasons why Cameroon is a staple of success in the central African region, while a lot of its neighbors are experiencing hardship, is because the national government understands the need for and supports private investment.”

In a publication last month by Cross-border Information, the author focused on Victoria Oil & Gas and how it helps drive the Cameroonian economy because it believes in the stability of the nation. Despite the fact that “Boko Haram is still a threat, Cameroon believes it scores well when compared to potential rivals blighted with greater security concerns and economic volatility.”

Results for the year ended 31 May 2015

The impairment of the Russian asset was included in of the Interim Results for the six months ended 30 November 2014. The Directors continue to pursue ways to derive value from the asset through farm-out, joint venture or sale, however this has been challenging due to the state of relations between Russia and the West, combined with the low oil price, and so the asset continues to be carried fully impaired.

Concerning our 100% owned Russian property, West Medvezhye, we have continued to pursue ways to derive value for this asset, through farm-out, joint venture or sale. West Medvezhye has significant gas and gas condensate reserves but the current state of relations between Russia and the West, combined with a low oil price, makes near-term development of the asset challenging and we believe divestiture is a more prudent course. With our focus on Cameroon, the Board has taken the decision to fully impair the Russian asset, writing it down by $49.8 million. We shall of course continue to seek partners to derive full value from the asset.”

WEST MEDVEZHYE OIL AND GAS PROJECT, RUSSIA

Our 100% owned West Medvezhye (“West Med”) block lies adjacent to the Yamal Peninsula in North West Siberia. It is one of the most prolific oil and gas producing regions in the world and neighbours the giant Medvezhye and Urengoy fields. West Med covers 1,224 km², and has a discovery well, Well-103, with “C1 plus C2” reserves of 14.4 million barrels of oil equivalent (“boe”) under Russian resource classification system.

In addition, the West Med acreage is assessed to have best estimate prospective resources of 1.4 billion boe comprising 670 million barrels of oil and 730 million boe of gas and condensate.

"REBALANCING

Having been pessimistic over the timing of the market's imbalance receding, energy ministers, including Novak, have started to note signs of it heading back towards rebalancing.

The International Energy Agency said in May that unplanned disruption to output in Canada, Nigeria and Libya could help run down a global overhang of unused crude this year, while demand will benefit from growing gasoline usage.

"It was a successful meeting, it was full harmony among members. We reviewed thoroughly market's status of oil supply and demand. The worst was over," Qatari Energy Minister Mohammed Al-Sada told reporters in Moscow, referring to the OPEC meeting."

""The market is heading towards rebalancing."

Al-Sada said he saw "huge shrinkage in investments" in the oil industry because of the recent price weakness - down to as low as $27 per barrel in January - "which can lead to shortage down the road."

"Investment is needed to come back so that we can sustain production and satisfy the market medium to long term," he said.

On Thursday, OPEC decided unanimously to appoint Nigeria's Mohammed Barkindo as its new secretary-general after years of friction over the issue.

Novak, who was meeting al-Sada on Friday in Moscow as a part of a regular inter-governmental commission, told reporters that he saw the appointment of a new secretary general as a key OPEC decision.""

He reiterated that Russia did not expect any new actions from the cartel and said he kept his forecast of an average oil price for 2016 at between $40 and $50 per barrel.

Appointment of Group Chief Executive Officer ("CEO")


Victoria Oil & Gas Plc, the integrated natural gas producing utility, today announces that Ahmet Dik has been appointed as Group CEO. Mr Dik is an existing member of the Board and preceding today's appointment held the position of Chief Executive Officer for the Company's wholly owned Cameroon subsidiary Gaz du Cameroun S.A ("GDC").

Mr Dik has been instrumental in developing both the VOG and GDC businesses. In 2014 he led the team to secure the ENEO grid power supply contract and in the past 7 months, as Chief Executive Officer of GDC, has presided over significant growth in gas sales, securing of a local debt instrument, the assignment of the 1,235km2 Matanda block to VOG and the design and planning phase of the 2016 drilling programme.

Following the gas sales growth in Cameroon over the previous 18 months, VOG is positioning itself to develop its integrated gas supply network through an extensive expansion programme. New thermal markets are being reached by the ongoing network expansion on the Bonabari shore and two new gas wells at Logbaba are scheduled to begin drilling soon. Subject to satisfactory well test results, a plant expansion programme will also be completed. The Matanda block assignment, completed during Q2 2016, also provides the Company with a significant onshore block, adjacent to current operations that can be developed for future gas supply.

Kevin Foo, Chairman, said: "Ahmet's appointment as Group CEO follows a sustained period of operational delivery from the Company, as we build a substantial gas business in Cameroon. Victoria Oil & Gas plc (LON:VOG) has promoted Ahmet Dik to the role of chief executive.

A board member already, and head of the company’s main operating subsidiary, Gaz du Cameroun, Dik has spearheaded VOG’s growth.

He helped the company land a grid supply deal for the gas from the company’s Logbaba field and has overseen the acquisition of the neighbouring Matanda block.

“Ahmet's appointment as group CEO follows a sustained period of operational delivery from the company, as we build a substantial gas business in Cameroon,” said chairman Kevin Foo.

“Ahmet has been instrumental in that growth over the last three years and now he will lead us as we expand further in Cameroon and elsewhere within Africa."

The shares marked time in early afternoon trade at 32.3p, valuing the business at £35mln.

The acquisition of the Matanda block in Cameroon earlier this marked a significant step change for VOG, giving it a substantial gas presence in a country crying out for power.

By taking a 75% stake it has bought an asset 60-times larger than its existing Logbaba concession.

Victoria Oil & Gas by numbers


The North Matanda field is estimated to hold 1.8 trillion cubic feet (Tcf) of gas and 136mln barrels of condensate on a p50 (50% probability) basis.

That compares with 208bcf of gas and 3.1mmbls of condensate at Logbaba as of last October.

Mining titan Glencore was the operator, but the agreement has seen it assign its 75% interest and responsibilities in the block to Victoria.

In return, Victoria will undertake a work programme to be agreed by the Cameroon government. AFEX, a Bermuda-based resource group, will retain its 25% participating interest.

The work programme plan initially is to explore onshore licence areas within a few kilometres of Logbaba and send any discoveries through the pipeline network operated by Gaz Du Cameroun or GDC, Victoria’s Cameroon subsidiary.

At present, GDC estimates demand for gas in Cameroon for thermal and power generation is estimated be in excess of 150mmscf (millions of standard cubic feet) per day and one of its stated ambitions is to grow production to meet this demand.

Matanda will certainly do that. GDC is currently the only supplier of natural gas to Douala, Cameroon’s rapidly growing second city.

In GDC's own words, it manages the whole value chain from the wellhead to customer connection.

Long-term supply contracts have been established with customers at prices from $9/mmbtu (millions of British thermal unit) to $16/mmbtu and with prices not subject to regulation.

Just from Logbaba, where it has a 60% stake, production is currently running at 15mmscf/d and a 'primary objective' in 2016 is to exceed 3.7 Bcf of annual production, a 30% increase over 2015.

Two new wells on the Logbaba field are also planned, and new CEO Dik has led the planning phase.

Infrastructure plans include designs for the gas treatment plant capacity to rise to 40mmscf/d, adding 13km to the pipeline network and to develop new product areas such as compressed natural gas (CNG).

Drilling Rig Arrival at Douala Port, Cameroon

Victoria Oil & Gas Plc today announces that the Savannah Oil Services Cameroon S.A. ("Savannah") Train Rig ("the rig") has arrived by ship to Douala port and the 2,756 tonnes of bulk load and containers have been offloaded and are ready for customs clearance. The new rail-mounted drilling platform for both a twin and step-out well will be located at the existing Logbaba plant and well site, approximately 13km from the port. VOG's wholly-owned subsidiary Gaz du Cameroun's ("GDC") schedule is to commence drilling in early Q3 and complete drilling by the end of 2016.

Overview

GDC is preparing to drill two wells into the onshore Cameroon Logbaba Field to supplement the two existing Logbaba production wells (La-105 and La-106). The board of VOG believes that the new Logbaba wells (La-107 and La-108) are required to meet the growing market demand for Logbaba gas, to develop Logbaba reserves, and to move some of our 2P (Proven plus Probable) reserves into the 1P (Proven) reserve category. One of the wells will twin the La-104 well drilled in 1957; the other will be a step-out well to be drilled into a target intended to prove up more Probable reserves. Both of the wells will be drilled directionally from a drilling pad adjacent to the Logbaba gas plant, and are to be tied into our production facilities immediately after they are drilled and completed. The La-104 twin well is almost vertical, with a target depth of 3,200m; the step-out well will be drilled to intersect a target about 1,100m to the south-east of the Logbaba drilling pad, also with a target depth of 3,200m.

Both wells are intended to be production wells from the Logbaba Formation, which is a thick sequence of interbedded sands and shales found at depths between 1,700m and 3,200m below the surface. In addition to developing the gas reserves in the Logbaba Formation, one of the wells, the La-104 twin, has an additional option of an 'exploration tail.' This could be drilled from the base of the Logbaba Formation down to 4,200m below the surface to test the hydrocarbon potential of the Mundeck Formation which had historical gas shows in La-104.

Logbaba Drilling Campaign

GDC has prepared rig pad foundations, including, leveling for the drill rig's track and preparations of the cellars and mud pits together with the lay down areas for the equipment and drill piping. Three drill conductors have been hammered into place and some extra mud pits and a further holding area are in the process of being finalised. Other major site preparations, including new warehousing for rig supplies, camp civils and the pre-drilling slope stabilisation work are completed. Transportation and assembly of all component drill parts and camp are being provided for the project by Savannah.

VOG Chief Executive Officer Ahmet Dik said: "The drilling rig has arrived in Douala port and we plan to commence drilling at the Logbaba site as soon as practicable. Our intention is to complete both the step-out and twin wells during 2016 aimed at unlocking further reserves and production capacity for sale to the burgeoning energy market in Douala. Additional gas reserves can be rapidly monetised to supply our captive energy market which we believe is largely insulated against fluctuating oil price and currency movements. "

Still mulling over the AGM which was the best yet, quick points:

New BoD looks impressive and attempted to answer all questions during and after meeting;
Dik certainly seems to be very competent;
New finance director competent but thrown in the deep end, as he will have to convince shareholders about transparency of accounts;
Focus on next two wells, next ENEO contract and ensuring infrastructure capacity to deliver higher volumes of gas;
Condensate operation including transport, profitable;
Closely followed by developing and drilling new licence;
Preparations for spudding well advanced and rig at port;
Drill costs will be covered by cash, revenues and RSM, $26m bank financing provides leeway and will ensure that the cupboard is not bear with respect to all programmed developments, which translates to further dilution being unlikely for lack of financial resources;
RSM payment will be announced shortly;
RSM will continue to pay 40% or capital and operating costs on producing wells, so 40% will effectively be net of these costs, so ignore the headline 40% figure and the situation will likely be better than most believe on this board as long as ENEO increases consumption, the high margins will kick in, especially when the drilling and pipeline costs start to fall.

Operationally VOG has made strong progress, the key to the future will be successful wells, followed by further energy contracts, here the excellent margins will ensure cash fall to the bottom line.

Operational update in a couple of weeks.

Overall, good meeting and I have to say that whilst Foo is personally not yet forgiven, he is a man of vision who has held it together by the skin of his teeth and deserves some credit and credit for managing to get a credible team around him to take VOG forward in an unfriendly business environment in the UK, Cameroon and globally.

Holding but I believe that the turning point has been reached, it won't be a smooth climb for the share price but the momentum will pick up as the many bits of good news will start rolling in.

If you are analysing VOG here is a tip that will give an indication of the potential, if VOG has just turned the corner and made a small profit, consider the actual cost of extraction and high margins given the selling prices due to local market conditions, then extrapolate the margins over another ENEO contract.

DYOR and crunch your own numbers as it is a punt based on successful wells on known reserves and new ENEO contracts building on existing contracts but when the market wakes up to the potential the sp will start its recovery, that might be in a day, a month, six months or a couple of years - the timeline is the big question?

I was very impressed by Ahmet Dik during the meeting and in our chat afterwards.

With VOG's more or less fixed cost base any more big power contracts (which there will be) will drop straight to the bottom line.

Also remember it is not just ENEO that GDC are talking to. Other power contracts are available with other power station owners like Globeleq (owners of Dibamba).

I am expecting news on West Med sale quite soon as well.

Still expecting director purchases within the next month, if not then I suspect that the timescales slip to the right and they will sit fat and happy on their options. If they are and they have not already (no announcement yet), I would expect news after the update. Operationally VOG is delivering on programme/infrastructure milestones, even if gas sales are not what was originally as expected. They did mention that some customers were increase off take whilst others like Guinness are using grid electricity but still have the generators in place.

Grim, is your comment on West Med based on a discussion or just feeling? Dik publicly said that he was reviewing all costs and involved in all commercial contract negotiations to keep costs down including West Med and Kermol.

As far as I am aware there are no costs associated with Kemerkol currently. Russia costs about $1.1 million annually at the moment to keep ticking over.

Victoria Oil & Gas Plc, the Cameroon gas utility company, today announces the appointment of Roger Kennedy as a Non-Executive Director of the Company with immediate effect. The addition of Mr. Kennedy to the Board will balance the number of executive and non-executive directors and provide a wider spectrum of skills to the Company.

Roger Cameron Kennedy, aged 53

Roger is currently Chairman of KCP Limited, a family office investing in public and private equity, having previously served as Chief Executive Officer from 2000 to 2007. In 2012, Roger co-founded QKR Corporation Limited, a diversified mining investment company backed by sovereign funds, institutional investors and high-net-worth individuals and served as a director until 2014.

Over the same period, he served as a director and Head of Business Development for Star Petroleum Limited, an upstream E&P company with oil licenses in Libya, South Sudan, Uganda, Angola, Nigeria and the Caspian Sea.

Prior to 2012, Roger was Managing Director and Head of the Energy & Natural Resources Group, Asia Pacific at J.P. Morgan Securities (Asia Pacific) Limited, where he built and managed a large Asia Pacific based team focused on Oil & Gas, Metals & Mining, Power and Chemicals. From 1994 to 2000 Roger was Head of the Latin American Industrials Group (Oil & Gas, Metals & Mining, Utilities, Infrastructure and Construction) and member of the M&A, Debt Capital Markets, Telecom and Natural Resources Investment Banking teams at Salomon Brothers Inc. Roger graduated from Oxford University with a D.Phil./PhD in Economics and Politics, holds a Juris Doctorate from New York University and is a member of the New York Bar Association.

Victoria Oil & Gas' Foo says new director Roger Kennedy will help "rebrand" the company

Kevin Foo, Executive chairman at Victoria Oil & Gas (LON:VOG) tells Proactive Investors newly-appointed director Roger Kennedy is a "very experienced financial, legal and resources executive" who is "very happy" to join Victoria as "he can see the future" of the company and what the company has achieved and "wants to be an integral part of that".

"I want to work with Roger to somewhat rebrand the company to get that message out - what we have done, how we are independent and really hitting some goals in Cameroon," Foo says.

Foo also says the company expects to complete the drilling programme on two new wells at Logbaba by the end of the year.

("Savannah") Train Rig ("the rig") has arrived by ship to Douala port and the 2,756 tonnes of bulk load and containers have been offloaded and are ready for customs clearance. The new rail-mounted drilling platform for both a twin and step-out well will be located at the existing Logbaba plant and well site, approximately 13km from the port. VOG's wholly-owned subsidiary Gaz du Cameroun's ("GDC") schedule is to commence drilling in early Q3 and complete drilling by the end of 2016. "
