(background)- In the above case, the Company(Pace Micro) was fined 450k for not telling the market they'd lost the NTL modem business; no it wasn't delayed a week, not a month it was delayed until the news leaked-out and then the sp crashed from 304 to 14p as the market twisted and turned.
But curiously the FSA could find no fault with the Directors, so they weren't fined - yet the company was fined thereby affecting the co. profits. In addition, the Directors used Co funds (so article says) to provide legal defenses, presumably for themselves as well as the company. Doesn't look a good deal does it?

Action like this makes the FSA a useless edifice that could be axed at no cost. Perhaps the FSA could point to some successes, where they have saved shareholders money? Or is it only people who chose the wrong Mortgage that are encouraged to cry "Miss-selling" - - - - That people knew the bonus was not guaranteed was obvious - how could anything be G'teed over that timescale? (unless it was very poor value to start with).

How to increase Director Prudence - - -
Directors should be paid a notional salary in cash - say twice the average of the top-10% of employees (excluding directors, don't be silly) and anything else they negotiate is put into a trust (in shares, bought on the market on a rolling date ) each month. After four years they would be allowed to take out the shares (swapping them for the current over-salary) and pocketing the difference after charges. In effect their salary+bonus depends on the sp rising over a 4-year period. First-in, first-out. It is the quantity of shares that is repayable not the value. For a rising sp (after consolidations etc) the directors should be well rewarded, but it would make them less wreckless on take-overs and investiing in overseas expansion etc etc.
When they leave they could collect their shares at the same rate, for the next 12 months and at twice that rate each month thereafter. By this means Directors that had behaved incorrectly would be subject to some financial restraint for a period of about 2+years after resignation; these payments being at the disgretion of shareholders, voted at each agm (after the results and dividend!).

However, if Parliament wished, the FSA could regulate/punish company directors by taking from their bonus-pot (as described) - in effect all Directors have to be confident they will steer the business well, making the sp rise and dividends increase year-on-year.
Now that's what I call shareholder value and Alignment.
It also provides the FSA somewhere to fine - since the Company is run by these overpaid Directors they must assume the effects of their actions. The sp over-time reflects the quality of their descisions - if not what else does it do? - OK the Market can rise/fall but this would be averaged out over the next four years. For FTSE companies the period should be five-years and for FTSE 100 companies six years. The scheme would include any Pension funding and after any holding was in their "pot" for the qualifying time they would be allowed to convert shares to the same value into another FTSE equity (thereby reducing a sector risk), to reduce charges the shares could be converted every two months in arrears.

A company that promises a lot and grants Directors huge salaries/bonuses will find that shareholders can cancel the payments (eg by 10% of the pot-value or up to 5% over any % rise Directors have awarded themeselves), or maybe defer the payment until the company has the degree of profitability that was expected. If directors are seen to be working hard and have to retire on health grounds the agm will be the place where the shareholders present(director holdings being barred) can exercise great control. Institutions would have to relenquish their block-vote power to a show of hands which is much fairer IMHO. Directors that perform well need not fear these changes; but those that are conning the market or who want to bolster a company only to take it over, (or sell it cheap, etc.) will find the shareholders do own the Company.
At present there is little evidence that shareholders are the owners. Far too often company sp are allowed to fall and then it is bought on the cheap, thereby stealing our investment whilst the directors take their bonuses and pensions, having found profitable jobs elsewhere, or even join the new management.
If the FSA would enact something along these lines, that would do a lot for shareholder value and help redress shareholder power which is currently only (at the agm) to choose between tepid tea and tepid coffee.

Pace warns of lower results
LONDON (ShareCast) - Set top box maker Pace Micro plunged 10% to 72p today after warning that first half results would come in lower than expected as its CEO resigned.
"Given our shipments will now be more concentrated in the second half than previously expected,
the first half result, which was expected to be below breakeven, will be commensurately affected," said Pace.
Chairman Sir Michael Bett added that some shipments may also move into the following financial year.
"We have experienced some delays in product development but these delays, typical of new product projects, have not impacted our expectations for the year as a whole," added Bett.
Pace said competition in the payTV market remains intense and consequently it is looking to explore new technology opportunities in other markets. "We are especially interested in new ventures that can offer us the potential for additional recurring revenue streams and are making good progress on this front," said Pace.
Chief executive John Dyson has also decided, after discussion with the board, to announce his intention to retire from the Board. Dyson continues until a replacement is found and after a suitable handover period.
