Sub-division of existing ordinary shares

Following the announcement on 11 November 2015 that the resolution to sub-divide each issued ordinary share of 50 pence each ("Existing Ordinary Shares") into four ordinary shares of 12.5 pence each (the "New Ordinary Shares") (the "Sub-Division") was passed, the Company today announces that the amendment of Existing Ordinary Shares with ISIN GB0007015521 to New Ordinary Shares with ISIN GB00BYRJ5J14 will become effective at 8.00 a.m. today (the "Amendment"). The New Ordinary Shares will be admitted to trading on the London Stock Exchange's main market for listed securities and on the premium listing segment of the Official List. Following the Amendment, there will be a total of 446,281,348 New Ordinary Shares in issue. The total number of voting rights in PHP is 446,281,348.

Following the Amendment, the above figure of 446,281,348 may be used by shareholders as the denominator for the calculations by which they will determine their interest in, or a change to their interest in, ordinary shares in the Company in the event they are required to make a disclosure under the FCA's Disclosure and Transparency Rules.

With effect from 8.00 a.m. today, share certificates in respect of Existing Ordinary Shares will cease to be valid. It is expected that by 25 November 2015, the Company will despatch share certificates in respect of New Ordinary Shares to those shareholders who held their Existing Ordinary Shares in certificated form and, until such time, shareholders should retain any share certificate(s) they currently hold in respect of Existing Ordinary Shares. Shareholders who held their Existing Ordinary Shares in CREST will have the New Ordinary Shares to which they are entitled automatically credited to their CREST accounts at 8.00 a.m. today.

Primary Health Properties' directors have approved the payment of its first quarterly interim dividend of 1.28125p per Ordinary Share, as envisaged in the Board's statement regarding future dividends issued on 11 November 2015.

This dividend will be paid on 26 February 2016 to shareholders on the register as at 15 January 2016 (the "Record Date"). The corresponding ex-dividend date will be 14 January 2016.

Qualifying PHP shareholders will continue to be able receive new ordinary shares in the Company, credited as fully paid, in lieu of the cash dividend, by participating in the Scrip Dividend Scheme (the "Scrip Scheme") that has been put in place by PHP.

Details of the Scrip Scheme will be circulated to all shareholders on 22 January 2016 with the option to participate in the Scrip Scheme being available to shareholders with regard to this dividend until 12 February 2016 (the "Election Date").

Primary Health Properties confirms a share issue to raise gross proceeds of up to GBP120m via the issue of up to 120m new shares by way of a firm placing, placing, open offer and offer for subscription at a discounted 100p a share.

The Board will have the ability to increase the size of the Issue by up to 25% should there be sufficient demand.

The Issue Price represents a discount of 9.5 per cent. to the Closing Price of 110.50 pence per Ordinary Share on 21 March 2016.

PHP will shortly be publishing a Prospectus in connection with the Capital Raising and will convene a General Meeting to approve certain matters necessary to implement the proposed fundraising.
