Issue of Equity

Coms plc. (AIM: COMS) announced the acquisition of Premium O Limited on 12th June and 12 million shares being deferred dependant on £55,000 gross profit over the first 3 Months totalling £165,000.

The Company is pleased to announce that Premium O has achieved the gross profit and £357,000 in the first 3 Months from the date of acquisition has been achieved which is £192,000 over target.

Application will be made for the admission to trading on AIM of the 12,000,000 Ordinary Shares with admission expected to take place on 24 September 2013. The Company's enlarged issued ordinary share capital immediately following the issue of these shares will be 619,873,783 Ordinary Shares, The Company holds no Ordinary Shares in Treasury at this time. The figure of 619,873,783 Ordinary Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in interest in, the share capital of the Company under the Disclosure and Transparency Rules.

The 12 million shares will be allocated as such:
David Breith 7,140,000
Lee Campion 4,800,000
Suzannah Doyle 60,000

After allocation of shares David Breith (CEO) will own 137,326,455 shares representing 22.15% shares in the company and Lee Campion will own 24,000,000 shares representing 3.87% of the company.

Let's look at the facts:

1.In the last month they have added (increase to existing recurring income) extra £1m so if they continue ( and my guess is that this will accelerate) this will be another £12m added per yr to the existing Recurring income

2.The Mitie contract is worth £15m over two years, this they have started installing. The bonus would be an extension to the contract from the 100k properties to up to 500k props, i.e. Could multiply this deal, as reported a couple of mths ago in the Daily Mail.
get another Mitie type deal on board and D Breith said himself that they could sign up one of Mitie competitors of which there are four I believe and you are looking at multiplying that figure again.

3.We are starting at a very low base, from scratch, some acquisitions are inevitable but the company is very well financed to do so, some dilution may occur but It's also in DBs interest not to let this get out of hand. Acquisitions will bring cost synergies as well as faster growth of the business.


4.Let's stick with the likely £22m revenue for next 12mths, 41% gr margin, allow for admin and gen costs, salaries etc. And acquisition costs, we will have say £5m to come off, ebitda of circa £4m. On a p/e of 20 this gives Mkt cap of £80m or approx 13.5p per share. (A recent buy recommendation had a target of 12p.)
Looking further ahead, talk of 100m revenue (published quite recently in a buy note) for me that's a little optimistic and few yrs down the line, an sp of 25-30p not out of the question.

I think David Breith is still finding his feet, having only been the CEO since January. Perhaps his early success with the company and share price went to his head a bit. He just needs to concentrate on the important issues of running the business and stop being distracted by all the nonsense going on around him. jmop

For heavens sake people who are in responsible positions should not be playing around wasting their time as we do on a sodding computer, they should be getting the business going hands on. - not punching keys on a keyboard. Retrace from High Points:

Research of the SP since DB took over, if you exclude Intra day high/lows has been as follows:

3rd July 4.53 p to 6th Sept 3.53p - 22% retrace
Also 8th May 2.8p to 15th May 2.05p - 27% retrace

The main factor in the recent drop was the PINN offer that wasn't and since then new contracts yielding £1m+ extra revenue have been announced and we have had the excellent news of the vastly increased profitability of Premium O. Add to that the fact the GM has increased to 41.5% and 96 % of revenues are reoccurring and it is plain to see that this is oversold and the current SP represents a great buying opportunity.

We all know that the next big rise will be triggered by a key RNS relating to Contracts, Holdings, Director Buys etc. Until then we just need a little patience.

The vast majority of PI's would be happy to obtain a 50% rise between now and Christmas. To do this with COMS the SP would need to reach 5.44p. Is that speculative, achievable or on the cautious side?
