Company Profile

The Oxus Group was established in 1996 and quoted on the Alternative Investment Market (AIM) in London in 2001.

Oxus Gold plc is a UK based international mining group with gold mining interests in Central Asia. Oxus is the joint owner (50/50) with the government of Uzbekistan of Amantaytau Goldfields (AGF) which is developing several mining operations in the Tien Shan gold belt near Zarafshan.

The first mine was constructed and commissioned by Oxus in January 2004 on time and within budget and commercial production began the following month. AGF has since produced more than 270,000 ounces of gold to the end of September 2005 and is now producing at the planned rate of 151,000 onces per annum.

Extension of Option

LONDON: 1 February 2008 - Further to the announcement made on 4 January 2008,
Oxus Gold plc ('Oxus' or the 'Company') (OXS.L) announces that on 30 January
2008 it was notified by RAB Special Situations (Master) Fund Limited ('RAB')
that RAB had agreed to extend the balance of the option granted to Zeromax GmbH
('Zeromax') to acquire up to 46,750,707 ordinary shares in the Company from RAB
at a total consideration of 80 pence per share. The option is exercisable in
whole or in part at any time until 29 February 2008 and extendable until 31
March 2008.

On 31 December 2007 Zeromax purchased 5,503,646 ordinary shares at a total
consideration of 80 pence per share from RAB pursuant to the option. Zeromax
currently holds 62,503,646 ordinary shares in the Company, representing 17.00
per cent of the current outstanding share capital. Should Zeromax exercise the
balance of the option in full, Zeromax's shareholding in the Company would
increase to 109,254,353 shares, representing 29.71% per cent of the Company's
current outstanding share capital of 367,687,460 ordinary shares of 1p each.

Settlement of Federal Court Proceedings

against Oxus Gold



Eurogold Limited ('Eurogold') and its wholly owned subsidiary Eurogold Holdings
(Bermuda) Limited ('EHBL') has agreed with Oxus Holdings (Malta) Limited
('OHML')and Oxus Gold Plc ('Oxus') to settle the proceedings commenced in 2006
by Eurogold and EHBL.


As previously announced Eurogold and EHBL commenced proceedings against Oxus and
OHML for damages arising from the termination by OHML and Oxus of the Asset Sale
Agreement entered into on 30 April 2006 for the sale of Eurogold's Ukrainian
gold assets.


Without accepting any liability Oxus has agreed to settle the dispute and pay
Eurogold A$7,950,000 made up of cash of approximately A$6,780,000 and Oxus
shares to the value of approximately A$1,170,000.


Of the cash component A$5,060,000 is payable on or before 31 March 2008 and the
balance of A$1.72 million by 6 May 2008.


IMF Australia (Limited)

On 22 December 2006 Eurogold entered into an agreement with IMF (Australia)
Limited ('IMF') under which IMF funded the Australian Federal Court proceeding
against Oxus. Under the terms of the agreement IMF are entitled to receive 30%
of the total proceedings received from the settlement.


Resource Invest LLC

In July 2007 Eurogold disposed of its Ukrainian gold mining assets to Resource
Invest LLC ('RIL') for US$5 million. US$2 million has been received and the
balance of US$3 million is due from RIL upon a regulatory milestone relating to
the advancement of the Saulyak Gold Project being met.


Upon receipt of the US$3,000,000 from RIL, settlement with Oxus and after
payment to IMF, the Company's cash position will be approximately A$10,000,000.
The Company's combined cash and Oxus share holding value will be approximately
3.5 cents per share (based on today's price of Oxus shares).


The Directors' continue to pursue new investment opportunities.

LONDON (Thomson Financial) - Mineral exploration-focused investment company Eurogold Ltd said Oxus Gold PLC sold off its entire holding of 43.2 mln Eurogold shares.

This comes after Oxus Gold said on Feb 19 that it would pay EuroGold 7.95 mln aud to settle legal proceedings that started in 2006.

Eurogold served proceedings on Aug 21, 2006 against Oxus Gold after Oxus' repudiation of the contract to acquire Eurogold's Ukranian gold assets for 27.8 mln aud.

ignore cynic commets, he's got a chip on his shoulder aboutrab, nrk.....just about any company or a person for that matter.....mayb thats why he' on moneyam site 24/7........mind you he doesnt seem o buy shares, just slag off shares that he sees fall ona particular day over a long peiod.

Gold on the rise $948 will have helped....have a look at avm chaps (good prospects) as well. OXS might shoot up if the Shares article is anything to go by...23 milllion or so ounces (by jove) springs to mind !, not in yet but might be soon !
