Completion of Acquisition
Coms plc ("Coms") completes acquisition of Comunica Holdings Limited
("Redstone")
Coms plc (AIM: COMS) is delighted to confirm that it has completed the acquisition from Redstone plc of Comunica Holdings Ltd - the ICT Infrastructure, data centre and smart building solutions business. Further to the announcement of the transaction on 5 November 2013, the conditions for completion, one of which was the approval of the transaction by Redstone plc shareholders which was received at the Redstone plc general meeting held today, have been satisfied.
The total cash consideration of the sale was £9.5 million to be settled by the payment of £7.65 million by Coms at completion and deferred consideration of £1.85 million and the transaction was effected on a debt free cash free basis. For the year ended 31 March 2013, Redstone reported revenue of £30.8 million and EBITDA of £2.5m.
Redstone will continue to trade as Redstone and will become an important part of the Coms plc portfolio.

Significant Contract
Coms plc (AIM: COMS) is pleased to announce that it has secured a significant contract to supply a provider with up to 50,000 mobile SIM cards through the Company's newly built Mobile Network. Under the terms of the contract the SIM cards are expected to be rolled out over a 24 month period with the first order for 10,000 cards already received and due to be delivered by early 2014.
The customer estimates the contract will generate revenue to Coms of approximately £20 per user per month. In addition, Coms will supply the customer with other products and services, including VoIP telephony, lines and broadband and other data connectivity. These, in addition to inbound numbers and related services provide a true end-to-end solution for the customer's end users.
Dave Breith, CEO of Coms, stated: "Once the full roll out over 2 years of the SIM cards has been achieved, we estimate that the potential revenues from the supply of SIM cards only will be significant under the contract. The contract also provides Coms with further opportunities to upsell its other products and services, thereby providing significant additional income. The Company maintains that owning our own voice, data and mobile networks makes Coms' service offering highly attractive. This new contract demonstrates our ability to derive significant shareholder value from our new mobile initiative."

Director/PDMR Shareholding
Coms was notified on 26 November 2013 that David Breith, CEO, purchased 1,530,000 ordinary shares in the Company on 26 November 2013 at a price of 4.48 pence per share.
Following this purchase, David Breith is interested in 138,856,455 ordinary shares in the Company representing 17.58 per cent. of Coms' issued share capital.

I agree with all that robstuff - plus I hope the CEO has got over his initial obsession with posting on Twitter, which started about the end of July and he is now concentrating his efforts on the important business of winning contracts.

Trading Update
Coms plc (AIM: COMS) is pleased to issue the following trading update for the 9 Month period ending October 2013. The board is pleased to report and announce:
· That trading in the 9 month period to October 2013 has been strong and revenue and EBITDA are in line with management expectations. The order book for the remainder of the year is promising and we are confident of our prospects for the full year.
· That all acquisitions, including Coms' newly acquired subsidiary Communica Holdings Ltd. ("Redstone"), made during 2013 are expected to be fully integrated by the year-end.
· Further contract wins with Taunton & Somerset NHS Trust, London Borough of Barnet, University of Kent, North Wales Hospital, Surrey and Sussex Healthcare, Harrogate District Foundation Trust, West Midlands NHS Trust and Gateshead NHS Foundation Trust. These, and other wholesale contract wins, further demonstrate the Company's ability to achieve organic growth.
· That the new Headquarters in Stokenchurch, Buckinghamshire and "centre of excellence" will be operational within the next 10 days. Approximately 50 staff will move immediately into these new offices, which can accommodate circa 200 people with the additional capacity being used for the anticipated increased activity during 2014. Accordingly before the year-end the Company will close down its London, Cannon Street offices and move the London based staff into Redstone's offices in Old Broad Street in the City.

Coms is confident about its prospects for the full year after strong trading in the first nine months.
The group says revenues and earnings before interest, tax, depreciation and amortisation are in line with forecasts.
And it says sll acquisitions, including Coms's newly acquired subsidiary Communica Holdings ('Redstone'), made during 2013 are expected to be fully integrated by the year-end.
