Share consolidation and change of name
The Company has considered the number of shares in issue and has decided to consolidate the existing shares in issue on a 100:1 basis. The Board are of the opinion that this will bring the share capital into line with the size of the Company and its peers.
The terms of the consolidation are that for every existing share of £0.001, a new ordinary share of £0.10 will be issued having the same rights and restrictions as the existing shares.
The total number of issued shares in the Company is currently 2,733,293,311. In order to ensure that the number of shares is divisible by 100 an additional 89 shares will be issued. These additional shares will be issued to the registrar and will be sold or transferred as appropriate.
In conjunction with the share consolidation the Directors also wish to change the name of the Company to AltynGold plc (and website to www.altyngold.uk), in order to align its name with its activates making it clearer to potential investors the trade of the Company.
Full details will be issued by post to Shareholders by way of a circular and notice of general meeting together with a form of proxy shortly. The Circular and notice of General Meeting will be available on the Company’s website at www.altyn.uk.
The General meeting will be held at 11a.m on 20 November 2020 at 28 Eccleston Square, London SW1V 1NZ. Due to the current COVID – 19 pandemic we ask shareholders not to attend in person but to vote by using their proxy.
