NOTICE OF EXTRAORDINARY GENERAL MEETING
The Company has today posted a Notice of
Extraordinary
General Meeting (the "EGM") to shareholders
to be held at Ground floor, Dorey Court, Admiral Park, St. Peter Port, Guernsey GY1 2HT, Channel Islands on 3 December 2020 at 10 a.m.
The Notice of EGM sets out details of, and seeks approval to: (i) the disapplication of pre-emption rights in respect of a general authority to issue of up to 27,534,312 New Ordinary Shares and (ii) the issue of such New Ordinary Shares at a minimum price of 104.3 pence per New Ordinary Share (being the Company's latest published net asset value per Ordinary Share) (the "Proposal"). Implementation of the Proposal is subject to the passing of the Resolutions at the EGM.
