Trian Investors 1 Ltd - offers exposure to investment activity of Trian Investors Management LLC - Receives requisition notice from shareholders holding over 10% stake for extraordinary general meeting to remove three of the four current directors.
Notes notice signed by Global Value Fund, Invesco, Janus Henderson Investors UK and Pelham Capital. Shareholders asking to remove Chris Sherwell, Simon Holden and Anita Rival and nominate two new directors, Robert Legget and Miles Staude to replace the outgoing three directors.
‘The board believes that it has consistently acted responsibly, upholding the standards expected under the UK Code of Corporate Governance and has effectively discharged its fiduciary duties,’ Trian says.
‘The board is in the process of reviewing the content and legality of the request with its advisers and a further announcement will be made in due course. The board welcomes input and views from all stakeholders.’
