System1 Group PLC - London-based marketing and brand consultancy - Recommends shareholders vote against proposals brought by former chief executive, Stefan Barden, and former chief financial officer, James Geddes, at the general meeting on April 21.

Considers all the resolutions proposed by the requisitioning shareholders are not in the best interest of the company and shareholders.

Requisitioning shareholders believe the company would benefit from a change in the composition of the board and believe the company can realistically aim for an exit with a value in excess of ve times its current value.

System1 Group refutes claims, feels requisitioning shareholders are out of touch with the company’s performance and the growth that they are seeking is already being delivered. Believes the board make-up is right for the next phase of growth and has a clearly defined plan that is starting to work.

Current stock price: 195.50 pence in London
