Chemring buys radio systems and tracking products maker Landguard

Chemring Group PLC on Monday said it will acquire Landguard Nexus Ltd for up to £20 million, expanding its Roke business.

Both companies focus on defence and law enforcement. Romsey, Hampshire-based Chemring is a manufacturing and technology firm involved in the security and aerospace sectors. Fareham, Hampshire-based Landguard makes software-defined radio systems and tracking products. Its subsidiaries include Landguard Systems Inc and Landguard Systems Ltd.

Chemring said the deal will expand its Roke business, which provides research, design, engineering and advisory services related to cybersecurity, data analytics and communications. According to Chemring, the Roke division helps clients ‘defend their people, assets and secrets’.

Landguard’s technology, engineers and intellectual property are all points of attraction, as Roke looks to enhance its pedigree in cyber and electromagnetic activities. The aim is to establish ‘a unique UK sovereign portfolio of defence, national security and law enforcement products’ to share between Landguard and Roke’s customers in the UK and overseas.

Of the total consideration, Chemring will fund the initial £14 million cash payment from existing bank loans. The remaining £6 million will take the form of cash earnouts, subject to performance.

The deal is conditional on approval from the UK national investment and & security act. Chemring did not provide a timeline, but noted that Landguard’s current owner-managers are expected to remain at the enlarged firm post-acquisition.

According to Chemring Chief Executive Micheal Ord, the deal shows ‘growth through a combination of organic investment and bolt-on acquisitions in high-priority defence and national security markets.’ It is expected to be ‘marginally earnings enhancing’ for the year ending October 31, 2026.

Chemring shares were 1.3% higher at 563.00 pence on Monday morning in London.
