Vodafone Group PLC on Friday said it has entered a binding agreement to acquire Romanian business assets from Hellenic Telecommunications Organisation SA. The Berkshire, England-based telecommunications provider reported that its subsidiary, Vodafone Romania SA, will pay an estimated €30 million for separate parts of Telekom Romania Mobile Communications SA. Vodafone’s purchase includes the post-paid customer base, while Digi Romania SA is set to buy the pre-paid business, with both companies gaining spectrum and towers in the deal, according to Vodafone. Hellenic Telecommunications, or OTE, which is majority-owned by Bonn, Germany-based peer Deutsche Telekom AG, will sell its 100% stake in Telekom Romania to Vodafone, apart from 7 shares held by SN Radiocommunicatii, and the assets will be transferred to Digi. OTE said the deal’s combined enterprise value was €70m, which will be returned to shareholders. This amount is subject to adjustments on completion, such as net debt, working capital, cost provisions and other expenses, OTE said. Vodafone Chief Executive Margherita Della Valle commented: ‘This transaction strengthens our position in Romania, by increasing our local scale and unlocking significant synergy benefits. It supports our strategy of building strong positions in growing markets, which enables us to invest in the high-quality networks our customers rely on.’ The binding agreement implements a memorandum of understanding that Vodafone signed in October 2024, and the acquisition is expected to be completed early October this year.
