Big Technologies PLC on Friday announced that Alexander Brennan has stepped down as independent non-executive chair, with immediate effect. The Rickmansworth, England-based electronic monitoring solutions provider named Sangita Shah as its independent non-executive chair on an interim basis. She joined the board as a non-executive director in late July. Big Technologies said that Brennan has determined that a new director, independent of its investigations related to former chief executive officer Sarah Murray, should lead its ‘efforts to resolve the protracted litigation against [Murray] and associated parties’. Brennan, formerly a non-executive director, became interim chair in July last year. He was then formally appointed as chair in April this year, alongside Mike Johns as chief financial officer. Brennan and Johns’ appointments were announced the day after Sarah Murray’s sudden departure, which followed her suspension in March and Big Technologies’ accusation that she had failed to disclose interests in entities collectively holding a 17.3% stake in the company. Big Technologies subsequently launched High Court legal proceedings, which included requesting a freezing order against Murray and associated entities. Interim Chair Shah commented: ‘On behalf of the board, I would like to thank Alexander for his integrity and his conduct, at the core of which has been a steadfast adherence to the highest standards of governance in the discharge of his duties, notably this year. ‘This has been a difficult time for the company, and we are grateful to Alexander for his consistent dedication and professionalism. We wish him all the best for his future endeavours.’ She added: ‘The board await confirmation that our offer of mediation will be accepted by Sara Murray to enable the company to progress to constructive settlement discussions.’ Big Technologies shares were 1.2% higher at 86.00 pence on Friday morning in London.
