The following stocks are the leading risers and fallers on AIM on Friday. ---------- AIM - WINNERS ---------- 1Spatial PLC, up 42% at 66 pence, 12-month range 43.5p-71.5p. The Cambridge, England-based master location data management company has reached an agreement in principle with VertiGIS Ltd on the latter’s proposed takeover offer, which values 1Spatial at approximately £87.1 million. VertiGIS says it has completed commercial due diligence, has a clear understanding of the 1Spatial business, and requires only limited confirmatory diligence to proceed to making a firm offer. VertiGIS, a London-based spatial asset management and geographic information systems solutions provider and software developer, is a portfolio company of technology-focused private equity firm Battery Ventures, which is also headquartered in London. 1Spatial has confirmed to VertiGIS that it intends to unanimously recommend the offer should it be made. Says the possible bid has received the support of 1Spatial’s largest shareholders, representing just under 34% of its share capital. These include received irrevocable undertakings from Threadneedle Asset Management Ltd, Columbia Threadneedle Management Ltd and Canaccord Genuity Asset Management. Says that the offer presents an ‘attractive valuation’ and a ‘compelling liquidity opportunity not currently afforded by the public markets and accelerates the ability to scale and deploy capital to significantly grow the business.’ VertiGIS has until January 9 to make a firm bid proposal under Takeover Panel rules. ---------- AIM - LOSERS ---------- Haydale Graphene Industries PLC, down 8.3% at 0.55p, 12-month range 0.105p-0.9p. Announces placing, subscription and retail offer to raise up to £6.4 million. Expects the placing and subscription to raise up to £5.9 million, with the retail offer to raise up to £500,000. Issue price for the fundraising is 0.5p per share. Also, Haydale has conditionally agreed to acquire Intelligent Resource Management Ltd, an end-to-end energy efficiency solutions provider which trades as SaveMoneyCutCarbon or SMCC, for all-share consideration of up to £17.1 million, of which £11.2 million will be paid on completion. Finally, the board intends to change the firm’s name to Haydale PLC, ‘reflecting the evolution of the group into a broader clean-technology platform’. ---------- boohoo Group PLC, down 6.0% at 23.5p, 12-month range 10.4p-38.52p.
