The following is a round-up of London-listed company director and manager changes announced on Monday and not separately reported by Alliance News: ---------- Phoenix Copper Ltd - US-focused base and precious metals producer and explorer - Board resolves to suspend Executive Chair Marcus Edwards-Jones and Chief Financial Officer Richard Wilkins from their roles, effective immediately. Says it is investigating allegations related to their ‘recent conduct and certain historic payments made to Lloyd Edwards-Jones SAS, the company’s former corporate finance advisor’. Plans to make a further announcement ‘as soon as these investigations have concluded’. Adds that it has put interim financial oversight arrangements in place while it seeks an interim CFO, who will then cover the role until the investigation reaches its conclusion and the suspension is over. It will also outsource the company secretary role ‘to a reputable corporate services firm’. Phoenix adds that it currently has limited working capital, and its cash balances will only allow it to meet ongoing obligations until early in the second quarter. It is considering various short-term and longer-term funding options and will update shareholders ‘in due course’ on its fundraising strategy. ---------- Eurocell PLC - Derbyshire, England-based manufacturer, recycler and distributor of window, door and roofline PVC products - Chief Executive Officer Darren Waters steps down, effective immediately. Company promotes CFO Designate Will Truman to CEO, also with immediate effect, to ensure ‘surety of leadership and a seamless handover’. Outgoing CFO Michael Scott has agreed to postpone his retirement and remain in his post, and ‘a full and rigorous recruitment process’ is now underway to find a permanent successor. ‘On behalf of myself and the board, I would like to thank Darren for his leadership over the last three years, which included the acquisition of Alunet and the expansion and growth of window and door sales through the branches,’ Chair Derek Mapp says. ‘He has contributed significantly to the culture change we are undertaking in the business.’ ---------- North American Income Trust PLC - Edinburgh-based investor in US equities - Chair Charles Park will step down at the end of the annual general meeting in June, after nine years on the board. North American Income promotes Senior Independent Director Patrick Edwardson, who joined the board in 2022, to chair. Says Edwardson ‘is an investment and financial services professional with over 30 years of experience’, who has ‘managed bond, equity and multi-asset portfolios and led Baillie Gifford’s multi-asset team’ during his career. ---------- B90 Holdings PLC - Isle of Man-based, gambling industry-focused online marketing company - Promotes Independent Non-Executive Director Andy McIver to independent non-executive chair, effective immediately. Also, Ronny Breivik transitions to serve as chief executive officer, ‘having previously combined executive leadership responsibilities with the position of chairman.’ Says that ‘the formal separation of the chairman and [CEO] roles represents an important step in the continued evolution of B90’s governance framework’, reflecting its ‘growing scale and maturity as a public company’.
