Scotch Corner sizes up raising £25.5 million in Aquis IPO

Scotch Corner Designer Village Holdings PLC on Wednesday said it plans to list on the Aquis Real Asset Market, with trading of its shares expected to start next month, as it seeks to raise funds to advance the construction of a designer outlet in the north of England.

The company behind the development in Yorkshire, at the junction of the A1M and the A66 roads near Richmond, is seeking to raise £25.5 million in capital with its initial public offering, and has appointed Oberon Investments Ltd and Retail Book Ltd as partners. Oberon Capital will be its corporate broker and RetailBook its retail broker.

Back in July, Scotch Corner said it ‘may consider an initial public offering’ on the Aquis Real Asset Market. On Wednesday, it said it plans to apply for admission to trading.

‘The proceeds of the shares to be issued and admitted to trading on the ARAM segment of AQSE will be used to pay down existing debt and progress the construction of the first phase of the development,’ Scotch Corner said.

‘Additional financing for phase one of the development will come in the form of mezzanine and senior debt, which is to be advanced on or around the date of the listing.’

The outlet village being developed by Scotch Corner has planning permission for 182,500 square feet of retail stores and leisure outlets in for its first phase, and about 115,000 further square feet that it expects to turn into home and garden centres in its second phase. A third 120,000 square feet outlet phase owned by a third party is pending planning approval.

Scotch Corner said the development has been ‘significantly derisked’ as about two-thirds of the retail and leisure spaces have been pre let to retail brands, and a further 15% is ‘in solicitors’ hands or with heads of terms agreed’.

The development, which is about 18 months ahead of being completed according to Scotch Corner, has been valued at about £169 million at practical completion, the company added.

It said: ‘The development benefits from a prominent location on the principal route between the North East and South of England, renowned as the ’crossroads of the north’. Some 29 million vehicles pass the junction each year.’
