Elon Musk-owned Space Exploration Technologies Corp has filed confidentially for an initial public offering, Bloomberg reported on Wednesday, according to unnamed sources familiar with the matter. A SpaceX IPO would be the largest in history, with a valuation of over $1.75 trillion, the sources said. SpaceX’s acquisition of Musk’s AI firm xAI in February valued the enlarged entity at $1.25 trillion. According to Bloomberg sources, the satellite maker has submitted its draft IPO registration to the US Securities and Exchange Commission. The filing puts SpaceX on track for a June listing, potentially head of likely IPO’s by OpenAI and Anthropic PBC, Bloomberg noted. A confidential filing offers companies the opportunity to receive feedback from the regulator and make changes before the information becomes public. Details including the number of shares to be sold and the price range are expected to be disclosed in a later filing, Bloomberg reported, adding that potential IPO investors should expect a briefing from the company this month. The company is considering a dual-class share structure in the listing. This would likely give insiders such as Musk extra voting power, Bloomberg noted. The IPO is expected to have a large retail component, with SpaceX allocating as much as 30% of the offering to small investors, a Bloomberg source said. A listing for SpaceX would raise as much as $75 billion, surpassing Saudi Arabian Oil Co’s $29 billion record debut in 2019. Bloomberg sources named Bank of America Corp, Citigroup Inc, Goldman Sachs Group Inc, JPMorgan Chase & Co, and Morgan Stanley as holding senior roles on the IPO. Citigroup will coordinate orders from international investors, with Barclays PLC in charge of the UK and Deutsche Bank AG and UBS Group AG responsible for European orders, sources said. Royal Bank of Canada is managing orders from Canada, while Mizuho Financial Group Inc is handling Asia and Macquarie Group Ltd Australia, Bloomberg reported.
