BATM Advanced Communications Ltd on Monday said it has agreed to sell three of its remaining four non-core activities for $13.3 million in cash. The Hod Hasharon, Israel-based provider of network infrastructure, cybersecurity and diagnostic technologies said it has entered into a share purchase and loan assignment agreement for the sale of the three units, made up of seven corporate entities. Sunstring Ltd, one of the disposed businesses, has agreed a secondary share purchase agreement for the sale of 96.8 million shares in BATM for 18.15 pence each, equating to around £17.6 million in cash. BATM said this represents a 33% premium to the average closing price of its shares in the previous 30 trading days. The agreements have been entered with Haim Dor, who is an ‘entrepreneur and investor primarily focused on the private healthcare sector’, BATM says. He was the co-founder and a significant shareholder of the Raphael Hospital in Tel Aviv and is not a related party of BATM. The aggregate cash consideration for the sale and share agreement is around $36.6 million. Following the completion of the transaction, only one non-core subsidiary will remain: BATM’s environmental monitoring company in Hungary, which it expects to sell in the near-term. BATM said the deal repositions it as a ‘high-technology specialist delivering mission-critical secure managed networking, quantum encryption and cybersecurity solutions to governments, critical infrastructure providers and global enterprises’. BATM Chief Executive Officer Moti Nagar said: ‘This is a decisive strategic win for BATM. By disposing of multiple non-core subsidiaries in a single transaction, we are accelerating our transformation into a focused secure networking, quantum encryption and cybersecurity business. ‘This transaction will give us the balance sheet strength to embark on the next stage of our strategy; to focus on, and invest in, the significant growth opportunities that exist within the remaining business.’ Shares in BATM Advanced Communications were up 6.8% at 15.28 pence on Monday afternoon in London.
