Final Results.


Key points:

· Underlying revenue excluding transit down 1.9% for the year, within our target range

· EBITDA1 target of above £6bn delivered a year early

· Free cash flow2 of £2.5bn, up 13% and well above expectations

· Net debt up £266m after £2.0bn pension deficit payment

· Proposed final dividend of 5.7p, up 14%, giving a full year dividend of 8.3p, up 12%

· 10m homes and businesses passed with fibre, many months ahead of schedule

Outlook:

We expect

· Underlying revenue excluding transit to show an improving trend in 2013 and 2014

· Growth in EBITDA1 in 2013 and 2014

· Normalised free cash flow (which excludes pension deficit payments and related tax credits) of £2,307m in 2012 to be broadly level in 2013 and above £2.4bn in 2014

· BT Global Services to deliver solid EBITDA growth in 2013

· BT Global Services operating cash flow to be lower in 2013 before returning to growth in 2014

· Dividends to grow by 10%-15% per year for the next three years

· Share buyback programme of around £300m in 2013

BT SELLS FRENCH APPLICATION DEVELOPMENT BUSINESS

BT Group plc today announces the sale by BT Global Services of its French application development services business to the publicly listed French IT services company Osiatis. The sale will be effective as of 1 June 2012.

The sale allows BT Global Services in France to focus further on its core strategy, which is to offer networked IT services and communications solutions to corporate customers and the government sector.

The unaudited gross assets of the business being sold were €1.84 million as at 31 March 2012.

BT wins live Premier League rights

Following today's announcement by the Premier League, we are pleased to confirm that BT has been awarded the A and G packages of live rights for the 2013/14 to 2015/16 Premier League seasons.

Our rights include 18 first picks, around half of those available, which means that for the first time consumers have a real choice of provider when it comes to watching the best games. We have secured access to 38 live games, including the opening game of the season, which represents a quarter of the 154 matches to be shown each season.

We will launch a new football-focused channel to carry the games. It will offer new interactive features when supplied over BT's fibre network and we will look to distribute it on other platforms. Full details and pricing will be published in due course.

Ian Livingston, Chief Executive, said: "We are pleased to have won these rights and to have secured around half of the best games on offer each season. We look forward to offering football fans real value and great quality using the latest technology.

"BT is already investing £2.5bn in fibre broadband. Securing Premier League rights fits naturally with this, as consumers increasingly want to buy their broadband and entertainment services from a single provider."

ITV in talks with BT to show Premier League games

ITV could show live Premier League football matches for the first time in its history under a tie-up with BT, it can be revealed.
BT is in talks to allow the broadcaster to screen on a terresterial channel some of the 154 sought-after games that it secured for £738m, as well as to produce the coverage of the matches.

Half Yearly report

Ian Livingston, Chief Executive, commenting on the results, said:

"We have delivered another solid quarter of growth in profit before tax despite the economic conditions and regulatory impacts. We continue to make significant investments in the future of our business and we are again accelerating our fibre roll-out. We now expect fibre to be available to two-thirds of UK premises during spring 2014, more than 18 months ahead of our original schedule, and we are recruiting more than 1,000 engineers in 2012 to help deliver this.

"Over the summer we helped to deliver the most connected Olympic and Paralympic Games ever and I am proud of the part that our people played in its success.

"Our confidence in the future of our business is demonstrated by the 15% increase in the interim dividend."



Key points:

· More than 12m premises passed by fibre with over 950,000 now connected and growing strongly
· 47% share of DSL, LLU and fibre broadband market net additions
· For the 2013 financial year we expect
· underlying revenue excluding transit to show an improved trend for the second half of the year compared with the first half, but not for the year as a whole
